Any changes to these Terms of Use will be in effect as of the "Last Updated" date referenced in these Terms of Use. By accessing, downloading, or using the Site after the "Last Updated" date, you agree to the changes to these Terms of Use. The following Terms of Use, together with any documents and/or additional terms they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use, including any content, functionality, and services offered on or through this Site.

By using this Site, you represent and warrant that you are the legal age of majority in your jurisdiction to form a binding contract with TechJutsu and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

2. ACCESS AND USE OF THE SITE

When you access or use the Site, you agree to use the Site only for purposes that are permitted by these Terms of Use and any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions. In addition, you agree that you are solely responsible for any breach of your obligations under these Terms of Use and for the consequences of any such breach. As a condition of your use of the Site, you warrant to TechJutsu that you will not use the Site for any purpose that is unlawful or otherwise prohibited by these Terms of Use. Whether on behalf of yourself or on behalf of any third party, you agree not to:

Access or attempt to access or use the Site, or any portion thereof, through any automated means, including but not limited to the use of scripts, bots, AI or web crawlers;

Engage in any activity that disrupts or otherwise interferes with the Site (or the servers and networks which are connected to the Site), or the use of the same by others, as determined in TechJutsu’s sole discretion;

Gain unauthorized access to accounts, data, or systems, breach or attempt to breach Site security; disrupt or disable the Site or its network infrastructure;

Scrape, duplicate, reproduce, copy, republish, license, sell, trade or resell the Site or any of its content for any purpose, unless you have specifically been permitted to do so in a separate written agreement authorized by TechJutsu;

Use the Site to store or transmit malicious code or malware, or to engage in phishing or other fraudulent activity;

Modify, adapt, translate, reverse engineer, probe, scan, test, decompile, or disassemble any portion of the Site except and to the extent required by third-party licensing terms governing use of certain open source components that may be included;

Use a false email address, impersonate any person or entity, or falsely state or imply or otherwise misrepresent your affiliation with any person or entity in connection with the Site.

We take the security of your personal information seriously; however, internet data transmission is not entirely secure, and we cannot guarantee the safety of information transmitted to the Site. Any such transmission is at your own risk.

You are responsible for obtaining access to and using the Site in accordance with these Terms of Use. If you provide account or registration information, it must be accurate, current, and complete. The name, logos and all related names, product and service names, and designs displayed on the Site are the proprietary marks of TechJutsu or its licensors. Such marks may not be used, copied, reproduced, imitated, or otherwise exploited, in whole or in part, without the prior written permission of TechJutsu. All other names, logos, product and service names, designs, images, and slogans appearing on this Site are the trademarks of their respective owners and may only be used with their express permission. Users are strictly prohibited from reproducing, republishing, uploading, posting, transmitting, distributing, modifying, creating derivative works of, publicly displaying or performing compiling for internal use, or otherwise exploiting any content from the Site in any medium whatsoever, except as follows: (i) your device may temporarily store or cache copies during normal browsing; (ii) you may print or download a reasonable number of copies solely for personal, non-commercial, or archival purposes, provided that all proprietary notices are preserved; and (iii) you may share Site content via permitted functionality of third-party social media platforms, to the extent allowed by both this Site and the third-party platform.

Any unauthorized use of the Site or its content constitutes a violation of these Terms of Use and may infringe upon TechJutsu’s or third-parties’ intellectual property rights, subjecting you to potential civil and/or criminal liability. Upon any breach of these Terms of Use, your right to use the Site shall immediately terminate, and you must return or destroy any copies of materials obtained in violation of these Terms of Use.

4. ACCEPTABLE USE

You may use the Site only for lawful purposes and in accordance with these Terms of Use. By accessing or using this Site, you agree not to:

(iii) Impersonate TechJutsu, its employees, another user, or any other person or entity;

(iv) Send, facilitate, or promote any unsolicited or unauthorized advertising, promotional materials, spam, chain letters, or similar solicitation; or

(v) Engage in conduct that disrupts or interferes with others' use or enjoyment of the Site, or which, as determined TechJutsu, may harm TechJutsu, its users of the Site, or expose them to liability.

5. SITE MONITORING AND ENFORCEMENT AND TERMINATION

TechJutsu reserves the right, at our sole discretion and without notice, to:

(i) Monitor your use of the Site to ensure compliance with these Terms of Use;

(ii) Take appropriate legal action, including notifying law enforcement, regulatory authority, or affected third-parties, in connection with any illegal or unauthorized use of the Site;

(iii) Cooperate fully with any law enforcement authorities request or court order requesting us to disclose user information or content; or

(iv) Suspend or terminate your access to all or part of the Site, with or without cause, including any violation of these Terms of Use.

To the extent permitted by law, you agree to release and hold harmless TechJutsu and its affiliates and subsidiaries and their officers, directors, employees, agents and contractors from any claims resulting from any action taken by TechJutsu as part of an investigations or in response to legal proceedings.

10. LIMITATION ON LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHJUTSU, ITS AFFILIATES, SUBSIDIARIES AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS BE LIABLE TO YOU UNDER THESE TERMS OF USE OF USE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF TECHJUTSU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CIRCUMSTANCES THE MAXIMUM AGGREGATE LIABILITY OF TECHJUTSU FOR ANY CLAIM ARISING UNDER OR RELATING TO THESE TERMS OF USE OR YOUR USE OF THE SITE SHALL BE LIMITED TO THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100); (B) THE TOTAL AMOUNT PAID BY YOU TO TECHJUTSU FOR SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (C) IF THE CLAIM RELATES TO A SPECIFIC PAID SERVICE, THE TOTAL FEES PAID BY YOU TO TECHJUTSU FOR THAT SERVICE.

THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND SHALL SURVIVE ANY TERMINATION OF THESE TERMS OF USE OR YOUR ACCESS TO THE SITE.

11. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TechJutsu and its affiliates and subsidiaries, and their officers, directors, employees, agents and contractors of any third party claims, demands, liabilities, damages, losses, costs and expenses, (including, without limitation, reasonable legal and accounting fees on a full indemnity basis), arising out of or in connection with: (i) your access or use of the Site, any third-party sites linked through the Site; (ii) any ordering, use or purchase of any contents, services, and products provided through the Site; and (iii) your violation of these Terms of Use or any applicable laws.

12. GOVERNING LAW AND CHOICE OF FORUM

These Terms of Use shall be governed by and construed in accordance with the laws in force in the Province of Alberta and the federal Laws of Canada applicable therein, without regard to conflict of law principles. You hereby irrevocably attorn and accept the exclusive jurisdiction of the courts of the province of Alberta. Any proceeding arising out of or relating to these Terms of Use shall be brought exclusively in the Judicial District of Calgary, Alberta.

13. WAIVER

No delay or failure by TechJutsu in exercising any right, power or privilege under these Terms of Use shall be considered a waiver of that right, power or privilege. Similarly, any single or partial exercise of a right, power or privilege does not prevent TechJutsu from exercising that right again or from exercising any other rights, powers, or privileges.

14. SEVERABILITY

If any term or provision of these Terms of Use is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms of Use or invalidate or render unenforceable such term or provision in any other jurisdiction.

15. ENTIRE AGREEMENT

These Terms of Use, any order placed by you on the Site that is accepted by TechJutsu (as applicable), and our Privacy Policy constitute the entire agreement between you and TechJutsu with respect to your access to and use of the Site and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, whether written or oral, regarding such subject matter.

16. CONSENT TO TRANSACT ELECTRONICALLY AND RECEIVE COMMUNICATIONS

You expressly consent: (i) to only having an electronic record of these Terms of Use to you and agree that you may retain a physical copy by printing this webpage; (ii) to transact electronically and acknowledge by using the Site that you are agreeing to be bound by the terms of these Terms of Use; and (iii) in the event you provide your contact information (e.g. name and email address) to TechJutsu, to TechJutsu contacting you pursuant to such contact information for the purpose of responding to your inquiry, providing you with TechJutsu’s and certain third-party promotional materials, providing information about TechJutsu’s business operations and activities to you, or such other purpose as may be apparent from the purpose for which you are providing your contact information to us, as the case may be.
